These Terms of Use (“Terms”) govern your access to and use of the websites, products, and services of Deaimer (“we”, “us”, “our”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services. This document is a template and not legal advice; please have counsel review it.

1) Accounts & Eligibility

  • You must be at least 13 years old (or the age required by local law) and capable of forming a binding contract.
  • Authentication is via Google SSO. You are responsible for maintaining the security of your SSO account.
  • Provide accurate information and keep it current.

2) Subscriptions, Billing & No Refunds

  • Fees are charged in advance per your selected plan and billing cycle.
  • All fees are non-refundable and non-creditable, to the fullest extent permitted by law, including for partial periods, downgrades, or unused Services.
  • Taxes may apply and are your responsibility.
  • We may change prices with reasonable notice for future billing cycles.
  • Failure to pay may result in suspension or termination.

3) Acceptable Use

  • No illegal, infringing, or harmful content or activity.
  • No attempts to reverse engineer, probe, or disrupt the Services or underlying models.
  • No automated scraping or rate abuse beyond documented APIs.
  • No submission of sensitive data categories unless expressly supported and governed by a separate agreement.

4) Your Content & License

You retain ownership of your content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your content solely to provide and improve the Services you request.

5) Output & Model Limitations

AI outputs may be inaccurate or incomplete. You are responsible for verifying outputs and for any decisions made based on them. We provide the Services “as is” and do not guarantee results.

6) Intellectual Property

The Services, including software, UI, documentation, and brand assets, are our property or our licensors’. You receive a limited, revocable, non-transferable license to use the Services in accordance with these Terms.

7) Confidentiality

We will treat customer content and non-public information as confidential and use it only to provide the Services, except as required by law or with your consent.

8) Privacy

Our Privacy Policy explains how we handle personal data.

9) Third-Party Services

Integrations and links to third-party services are subject to those providers’ terms and policies. We are not responsible for third-party services.

10) Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

12) Indemnification

You agree to defend, indemnify, and hold harmless Deaimer and its affiliates from any claims, damages, liabilities, and expenses arising from your content or your use of the Services in violation of these Terms or applicable law.

13) Suspension & Termination

We may suspend or terminate access for violations of these Terms or to protect the Services or others. You may stop using the Services at any time. Sections intended to survive (e.g., fees, IP, warranty disclaimer, limitations, indemnity) will survive termination.

14) Export & Sanctions

You represent that you are not located in a restricted jurisdiction and will not use the Services in violation of export control or sanctions laws.

15) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The exclusive venue and jurisdiction for any dispute will be the state or federal courts located in Delaware.

16) Changes

We may update these Terms from time to time. Changes are effective when posted. If changes are material, we will provide reasonable notice via the Services or email.
